This Non-Compete Agreement (the "Agreement") is made effective as of ________ (the "Effective Date"), by and between ________ ("Employee") and ________ ("Employer"), collectively referred to as the "Parties". The purpose of this Agreement is to restrict the Employee's ability to engage in certain business activities that are in direct competition with the Employer within the state of Kentucky, in accordance with the Kentucky Revised Statutes.

WHEREAS, the Employer is engaged in the business of ________, and the Employee agrees to not compete with the Employer's business during and after the termination of employment for a period and within a geographic region as set forth below, the Parties hereby agree as follows:

Non-Compete Covenant: The Employee agrees not to engage in or start a similar business, work for a competitor, or otherwise compete with the Employer's business within a radius of ________ miles from the Employer’s primary place of business in Kentucky for a term of ________ months following the termination of employment.
Non-Solicitation: During the term of this Agreement, and for ________ months thereafter, the Employee shall not solicit or attempt to solicit, directly or indirectly, business from, or offer services to, any of the Employer’s clients, customers, or vendors whom the Employee had contact with during the term of employment.
