Whereas, the Releasor wishes to indemnify and hold harmless the Releasee against any and all claims, losses, damages, and expenses, including legal fees, arising out of _____[Description of Activity]_____, to the extent permitted by Kentucky law. This includes, but is not limited to, actions under the Kentucky Revised Statutes specific to indemnity agreements.

Hold Harmless. Assumption of Risk. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without giving effect to any principles of conflicts of law.
Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior or contemporaneous oral or written agreements and understandings.
Amendment. No amendment, modification, or addition to this Agreement shall be binding unless it is in writing and signed by both parties.
Severability. If any term or provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect as if such invalid, illegal, or unenforceable term had never been included.
